1. Acceptance of Terms

By accessing this website or engaging Tridex for services, you agree to be bound by these Terms of Service and any applicable proposal, statement of work, order form, or other written agreement between you and Tridex. If you do not agree, you should not use the website or our services.

The exact scope, timing, deliverables, service levels, and commercial terms for any client engagement will be defined in the applicable written proposal or service agreement. If there is a conflict between these Terms and a signed client agreement, the signed agreement will control.

3. Website Use

You agree to use this website lawfully and responsibly. You may not:

  • Use the website in any way that violates applicable law or regulation.
  • Attempt to gain unauthorized access to the website, systems, accounts, or networks.
  • Interfere with site performance, security, or availability.

4. Client Engagements

A client engagement begins only when both parties agree to a written commercial arrangement or when Tridex otherwise confirms the start of work in writing. Quotes, strategy calls, or informal discussions do not by themselves create a binding delivery obligation.

Timelines are generally based on reasonable cooperation, timely approvals, timely provision of feedback, and access to needed tools, accounts, assets, and information.

5. Fees & Payment

  • Fees, deposits, retainers, recurring charges, and billing cadence will be specified in the applicable proposal or agreement.
  • Unless otherwise stated, invoices are due according to the payment terms shown on the invoice.
  • Late payments may result in paused work, withheld deliverables, suspension of active services, or late fees where permitted by law.
  • Paid fees are generally non-refundable once work has been scheduled, performed, or third-party costs have been incurred, unless a written agreement states otherwise.
  • You are responsible for taxes, platform fees, ad spend, media budgets, and third-party subscription costs unless explicitly included.

6. Client Responsibilities

To support effective delivery, clients agree to:

  • Provide accurate and timely information, feedback, approvals, and required access credentials.
  • Ensure they have the rights, licenses, and permissions needed for any content, trademarks, data, media, or assets they supply.
  • Review deliverables within a reasonable time and raise material concerns promptly.
  • Maintain appropriate internal controls for their own business, accounts, compliance obligations, and operational decisions.

7. Intellectual Property

Unless otherwise agreed in writing, Tridex retains ownership of its pre-existing materials, methodologies, templates, processes, know-how, internal tools, frameworks, prompts, automation systems, and any materials developed independently of a specific client engagement.

Upon full payment of all applicable fees, the client will receive the rights expressly granted in the governing proposal or agreement for final approved deliverables created specifically for that client. Drafts, unused concepts, strategic working files, and internal systems remain the property of Tridex unless expressly transferred in writing.

8. AI Tools & Third-Party Platforms

Some services may involve AI-assisted tools, automation platforms, ad networks, CMS providers, hosting vendors, CRM systems, analytics tools, or other third-party products. Performance, availability, policy changes, and platform decisions made by those providers are outside Tridex's direct control.

Where AI-assisted workflows are used, outputs may require human review, editing, validation, or client approval. Clients remain responsible for final business decisions, legal compliance, regulated use cases, and approval of published materials.

9. Confidentiality

Each party agrees to use reasonable care to protect the other party's non-public confidential information and to use it only as needed for the relationship. This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from a third party without breach of confidentiality.

10. Disclaimers

The website and services are provided on an "as is" and "as available" basis except to the extent expressly stated in a written agreement. Tridex does not guarantee uninterrupted website access, platform uptime, specific rankings, lead volume, revenue increases, campaign outcomes, or other commercial results unless explicitly promised in writing.

11. Limitation of Liability

To the maximum extent permitted by law, Tridex will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, lost business opportunities, or reputational harm arising from or related to the use of the website or services.

To the maximum extent permitted by law, Tridex's aggregate liability for claims arising out of a client engagement will not exceed the amount paid to Tridex for the specific services giving rise to the claim during the three months preceding the event at issue, unless a different cap is stated in a signed agreement.

12. Suspension & Termination

We may suspend or terminate access to the website or services where reasonably necessary for non-payment, legal compliance, security concerns, abusive conduct, breach of these Terms, or operational protection. Either party may also terminate an engagement as allowed by the governing proposal or written agreement.

13. General Terms

  • If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.
  • Failure to enforce any provision is not a waiver of that provision.
  • You may not assign rights or obligations under these Terms without Tridex's prior written consent.
  • These Terms are governed by the law specified in the applicable signed client agreement, or if no such agreement exists, the law reasonably determined by Tridex for the relationship.
